Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and MYIDVAULT LLC ("Company," "we," "us," or "our") regarding your access to and use of https://myidvault.io and any related applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use.

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use IDVault. By using the platform, you confirm that you have the legal authority to enter into these Terms.

2. Description of Services

IDVault provides secure cloud-based document storage, encrypted file handling, controlled document sharing, vault membership management, and related identity organization tools. Features may evolve over time and may differ between subscription plans.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You agree to:

  • Provide accurate and complete registration information
  • Maintain secure passwords and devices
  • Promptly notify us at support@myidvault.io of unauthorized access
  • Use the platform lawfully and responsibly

4. User Representations

By using the Services, you represent and warrant that:

  • All registration information you submit is true, accurate, current, and complete
  • You have the legal capacity and agree to comply with these Terms
  • You are not a minor in the jurisdiction in which you reside
  • You will not access the Services through automated or non-human means
  • You will not use the Services for any illegal or unauthorized purpose
  • Your use of the Services will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account.

5. Acceptable Use

You may not use IDVault to upload, store, distribute, or share:

  • Illegal content or contraband
  • Child sexual abuse material
  • Fraudulent or stolen identification documents
  • Malware, ransomware, or harmful software
  • Content used for impersonation or identity fraud
  • Material that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts involved in abusive, illegal, or harmful activity.

6. Vault Ownership & Membership

Certain subscription plans allow shared vault access with invited members. Vault owners control:

  • Membership invitations
  • Member removal
  • Access permissions
  • Shared vault management

Removing a member may change that user's vault access, permissions, or subscription status.

7. Subscription Plans & Billing

Some features require a paid subscription. Subscription pricing, storage limits, document limits, and member capacity vary by plan. Paid subscriptions renew automatically unless canceled before the next billing cycle. Billing is processed securely through Stripe.

Shared vault members who lose access may temporarily receive a grace period before reverting to a lower-tier plan.

8. Data Storage & Security

IDVault uses encryption, authentication systems, and secure cloud infrastructure designed to protect stored documents and account information. While we implement security safeguards, no system can guarantee absolute security or uninterrupted availability.

9. User Content

You retain ownership of the documents and content you upload. By using the platform, you grant IDVault the limited, non-exclusive rights necessary to store, process, secure, and transmit your content solely for the purpose of providing the Services. We do not access, sell, or share your content with third parties.

You represent and warrant that you have all rights necessary to upload the content and that it does not infringe any third-party rights.

10. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services.

Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption.

Upon account termination, you may request an export of your data. We will retain data for a reasonable period as required by law, after which it will be permanently deleted.

11. Service Availability

We may modify, suspend, restrict, or discontinue portions of the platform at any time for maintenance, upgrades, legal compliance, or operational reasons. We reserve the right to impose limits on certain features or restrict access to parts of the Services without notice or liability.

12. Account Suspension or Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Create security risks
  • Engage in fraud or abuse
  • Attempt unauthorized access to systems or data

13. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

14. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

15. Limitation of Liability

To the maximum extent permitted by law, MyIDVault LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the platform.

Our total liability to you for any claim arising from or related to these Terms or the Services shall not exceed the total amount you paid to us in the six (6) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless MyIDVault LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

17. Dispute Resolution

Before initiating any formal dispute, you agree to contact us at support@myidvault.io and attempt to resolve the matter informally. We will work to resolve the dispute within 30 days.

If not resolved informally, any dispute shall be settled by binding arbitration in Erie County, New York, United States. We will cover arbitration fees if deemed excessive. The arbitrator's decision shall be final and binding.

You agree to resolve disputes on an individual basis only — not as part of a class, collective, or representative action.

18. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles. Any court proceedings shall be brought in the courts of Erie County, New York.

19. Electronic Communications

By using the Services and providing your email address, you consent to receiving electronic communications from us, including notices about your account, legal updates, service announcements, and responses to your inquiries. You agree that any agreements, notices, disclosures, or other communications we send electronically satisfy any legal requirement that such communications be in writing.

20. Miscellaneous

These Terms constitute the entire agreement between you and MyIDVault LLC regarding the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

21. Changes to These Terms

We may update these Terms periodically. If we make material changes, we will notify you by email at the address associated with your account from support@myidvault.io. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
